1. Acceptance of these terms
These Terms & Conditions (the “Terms”) govern your access to and use of the Perpgame launchpad and the perpgame.xyz website, applications, and interfaces (together, the “Interface”). By connecting a wallet, signing a message, or otherwise using the Interface, you agree to be bound by these Terms. If you do not agree, do not use the Interface.
The Interface is operated by Perpgame (“Perpgame”, “we”, “us”). We may update these Terms from time to time; the version in force is the one published here, and continued use after a change constitutes acceptance of the updated Terms.
2. Eligibility
You may use the Interface only if you are of legal age in your jurisdiction and have the capacity to enter into these Terms. You are solely responsible for determining whether your use is lawful where you are.
You represent that you are not subject to sanctions and are not acting on behalf of any person or entity that is.
3. Prohibited jurisdictions
You may not access or use the Interface if you are a citizen or resident of, located in, or organised under the laws of any jurisdiction where such use would be illegal or where the underlying protocol is restricted. This includes any territory subject to comprehensive sanctions (including, without limitation, the Crimea, Donetsk, and Luhansk regions, Cuba, Iran, North Korea, and Syria) and any person on a sanctions list maintained by the United States, the United Nations, the European Union, or the United Kingdom (each a “Restricted Person”).
We may restrict or block access from any jurisdiction at our discretion, including by geo-blocking, and may require verification of your eligibility. Using a VPN or other means to circumvent these restrictions is a breach of these Terms.
4. Nature of the service
Perpgame is a non-custodial interface to a set of smart contracts deployed on HyperEVM. Each launched market consists of an on-chain treasury that custodies a basket of Hyperliquid leveraged tokens and a bonding-curve contract that mints and burns the market’s token against that basket’s net asset value.
We do not take custody of your assets, hold your private keys, or execute transactions on your behalf. Every buy, sell, deployment, and rebalance is a transaction you authorize from your own wallet and that settles on-chain according to the contracts’ logic. We cannot reverse, cancel, or recover a confirmed transaction.
The Interface is a convenience layer for reading on-chain state and constructing transactions. The smart contracts, not Perpgame, are the source of truth for balances, prices, and outcomes. We are not a counterparty to your transactions, are not a broker, dealer, exchange, or custodian, and have no fiduciary relationship with you.
5. Intellectual property and licence
The Interface, including its design, text, graphics, and software (excluding the open-source smart contracts and any third-party content), is owned by Perpgame or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Interface for its intended purpose.
The “Perpgame” name and logos are our trademarks; nothing here grants you a right to use them. You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Interface except as permitted by applicable open-source licences. All rights not expressly granted are reserved.
6. No financial advice
Nothing on the Interface is financial, investment, legal, tax, or accounting advice, and nothing constitutes a solicitation, recommendation, or offer to buy or sell any asset. Any tokens, baskets, leverage settings, or rebalance rationales surfaced in the Interface — including those generated by automated agents — are informational only. You are solely responsible for your own decisions and should consult independent professional advisers.
7. Risks
Using the Interface and the underlying protocol involves significant risk, including total loss of funds. You acknowledge and accept the following non-exhaustive risks:
Leverage and volatility. Market tokens are backed by leveraged tokens, which embed leveraged perpetual exposure and the volatility decay inherent to constant-leverage products. Their value can fall rapidly and to zero, and net asset value can drop below your entry price.
Smart-contract risk. The contracts may contain bugs or be subject to exploits despite auditing and testing. Audits reduce but do not eliminate this risk.
Liquidity risk. Redemptions depend on third-party (Bounce) liquidity and atomic-redeem buffers; instantly withdrawable value may be less than the quoted notional, and exits may be delayed or partial.
Fees. Buys and sells incur a protocol fee, and on-chain transactions incur network gas; these are costs you bear and that reduce realized returns.
Third-party and infrastructure risk. The protocol depends on HyperEVM, Hyperliquid, Bounce leveraged tokens, oracles, RPC providers, and your own wallet. Outages, mispricing, or failures in any of these can cause loss.
Regulatory risk. The legal treatment of these instruments is uncertain and may change adversely.
8. Assumption of risk and release
You understand and accept that you use the Interface and the underlying protocol entirely at your own risk, and that you are solely responsible for any losses you incur. To the maximum extent permitted by law, you release and forever discharge Perpgame and its contributors from any and all claims, demands, and damages of every kind arising out of or connected with your use of the Interface, the underlying contracts, or the assets you transact.
If you are a California resident, you waive California Civil Code §1542, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You expressly waive the protections of §1542 and of any analogous law of any jurisdiction.
9. Your responsibilities
You are responsible for the security of your wallet, keys, and devices; for the accuracy of every transaction you sign; for any taxes arising from your activity; and for complying with all laws that apply to you. You agree not to use the Interface to launder proceeds of crime, finance illicit activity, evade sanctions, or facilitate any unlawful purpose.
10. Prohibited use
You may not use the Interface to violate any law; to infringe the rights of others; to interfere with, attack, or disrupt the Interface or the underlying contracts; to deploy malicious code; to scrape or overload the service; or to misrepresent yourself, including by deploying markets designed to defraud or impersonate others.
11. No warranty
The Interface is provided “as is” and “as available”, without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Interface will be uninterrupted, error-free, secure, or that any information displayed is accurate or current.
12. Limitation of liability
To the maximum extent permitted by law, Perpgame and its contributors will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, assets, tokens, or data, arising out of or relating to your use of the Interface or the underlying protocol, even if advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Interface is to stop using it.
13. Indemnity
You agree to indemnify and hold harmless Perpgame and its contributors from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use of the Interface, your violation of these Terms, or your violation of any law or third-party right.
14. Changes and availability
We may modify, suspend, or discontinue any part of the Interface at any time, including disabling access to features or pausing market creation, without liability. The underlying smart contracts may be upgraded by their administrators in accordance with their on-chain governance.
15. Dispute resolution; arbitration and class-action waiver
Please read this section carefully — it affects your legal rights. It requires most disputes to be resolved by binding individual arbitration and limits the ways you can seek relief.
Informal resolution first. Before starting arbitration, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Interface that is not resolved informally will be settled by binding arbitration on an individual basis, rather than in court, conducted by a recognised arbitration body under its applicable rules. Either party may still bring a qualifying claim in small-claims court.
Class-action waiver. You and Perpgame agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.
Where binding arbitration or the class-action waiver is unenforceable in your jurisdiction, this section applies only to the extent permitted by applicable law.
16. Governing law
These Terms and any dispute arising from them are governed by the laws applicable at Perpgame’s place of operation, without regard to conflict-of-laws principles. Where mandatory consumer-protection laws of your residence apply, nothing here limits the rights those laws grant you.
17. General
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
Entire agreement. These Terms, together with any policies referenced here, are the entire agreement between you and Perpgame regarding the Interface and supersede prior agreements.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our consent; we may assign them freely, including to a successor.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including network, blockchain, or third-party-provider failures.
Notices. We may provide notices through the Interface or the community channels in the footer.
